Terms of Service
1. Parties and scope
These Terms govern your use of the Skryx platform ("the Service") provided by SmartKeep Solutions SRL, registered company RO43273365, based at Arad, Romania ("Skryx", "we") to you as a registered user ("the Customer").
The Service is a SaaS search-as-a-service platform: product / document indexing, real-time search, AI assistance, and an administrative dashboard.
2. Account, eligibility
To use the Service you need an account. You must be at least 18 years old and have the legal capacity to enter into contracts. You are responsible for the security of your credentials and for all activity performed through your account.
3. Acceptable use
Detailed policy: AUP. In short: do not use the Service for illegal content, abuse, scraping, infrastructure attacks, or in any way that harms other users.
4. Subscription and payment
Certain plans require recurring payment. Payments are processed by Stripe Inc. (see Privacy Policy). Listed prices are VAT-exclusive unless stated otherwise; VAT applies as required by applicable law.
Renewal is automatic at the end of each period unless you cancel before the renewal date. Cancellations are made from Settings → Billing and take effect at the end of the current period. We do not refund unused time, except where required by law (EU consumer right of withdrawal — 14 days).
5. Availability, SLA
We strive for high availability but do not guarantee 100% uptime. A commercial SLA will take effect after the official launch of our business plans.
6. Intellectual property
Skryx retains all rights in the platform, code, design, and marks. The data you upload remains yours; you grant us a non-exclusive licence to process it solely to provide the Service.
7. Limitation of liability
To the maximum extent permitted by law, Skryx's total liability for any damages arising from use of the Service shall not exceed the amount paid by the Customer in the previous 12 months. We are not liable for indirect or consequential damages or lost profits.
8. Indemnification
The Customer agrees to indemnify Skryx against any third-party claims arising from breach of these Terms or unlawful use of the Service.
9. Termination
We may suspend or terminate an account for serious breach of these Terms, with reasonable prior notice except in urgent cases.
10. Governing law, jurisdiction
These Terms are governed by Romanian law. Disputes shall first be resolved through good-faith negotiation; failing that, by the competent courts in Arad, Romania. Consumers may also use the EU ODR platform.
11. Changes
We will notify you by email at least 30 days before any material change. Continued use after notification constitutes acceptance of the new terms.
